Introduction

March 2, 2023

On March 2, 2023, Nordstrom Canada Retail, Inc., Nordstrom Canada Holdings, LLC, and Nordstrom Canada Holdings II, LLC (collectively, the “Applicants”) made an application to the Ontario Superior Court of Justice (Commercial List) (the “Court”) and were granted an order (the “Initial Order”), which, among other things, provides for a stay of proceedings pursuant to the Companies’ Creditors Arrangement Act, R.S.C. 1985, c. C-36, as amended (the “CCAA”).

Although Nordstrom Canada Leasing LP (“Canada Leasing LP”) is not an applicant in the CCAA proceedings, the stay of proceedings and other benefits of the Initial Order were extended to Canada Leasing LP.

Pursuant to the Initial Order, Alvarez & Marsal Canada Inc. was appointed as monitor (the “Monitor”) of the business and financial affairs of the Applicants.

March 20, 2023

On March 20, 2023, the Court issued an order (the “Liquidation Sale Approval Order”) approving the Consulting Agreement entered into between Nordstrom Canada and Nordstrom Canada Leasing LP and a contractual joint venture composed of Hilco Merchant Retail Solutions ULC, Gordon Brothers Canada ULC, Tiger Asset Solutions Canada, ULC and B. Riley Retail Solutions LLC (collectively, the “Consultant”) along with Sales Guidelines of the Liquidation Process. The order extended the Stay Period (as defined in Paragraph 12 of the Initial Order) until and including June 30, 2023. 

May 31, 2023

On May 31, 2023, the Court issued an order (the “Claims Procedure Order”) approving the claims process whereby persons who assert a Claim against the Nordstrom Canada Entities must file a Proof of Claim or D&O Proof of Claim with the Monitor on or before 5:00 p.m. (EDT) on August 4, 2023 (the “Claims Bar Date”).  Claims packages and additional information are available using this link.

December 20, 2023

On December 20, 2023, the Court issued an order (the “Meeting Order”), accepting the filing of the Consolidated Plan of Compromise and Arrangement (the “Plan”). The Meeting Order authorizes the Nordstrom Canada Entities to call, hold and conduct a meeting of the Affected Creditors (the “Creditor’s Meeting”) to consider and vote on the Resolution to approve the Plan. The Creditor’s Meeting is scheduled to be held on March 1, 2024 at 10:00am (Toronto time) at https://web.lumiagm.com/436321841. Creditors must notify the Monitor by e-mail at NordstromCanada@alvarezandmarsal.com by no later than February 28th at 5:00 PM (Toronto time) in order to obtain their personal meeting identification number (a “Personal Meeting Identifier”) to access and vote at the Creditor’s Meeting.

The Meeting Order, extends the Stay Period (as defined in Paragraph 12 of the Initial Order) until and including April 5, 2024.

March 19, 2024

On March 19, 2024, the Court issued an order (the “Sanction and Vesting Order”), sanctioning and approving the Consolidated Plan of Compromise and Arrangement dated December 13, 2023. The issued Sanction and Vesting Order, extends the Stay Period (as defined in Paragraph 12 of the Initial Order) until and including June 28, 2024. 

April 25, 2024

On April 25, 2024, the Nordstrom Canada Entities confirmed in writing to the Monitor that all of the conditions precedent set out in section 8.3 of the Plan have been fulfilled, as applicable, in accordance with the terms of the Plan and the Plan Implementation Date has occurred and the Plan is effective with its terms and the terms of the Sanction and Vesting Order.  A copy of the Monitor’s Plan Implementation Date Certificate, which has been filed with the Court, is available in the Court Order section of this website.
